These Terms of Service (the "Terms") govern your access to and use of the website www.sotrust.net (the "Site") and the purchase and use of products (including USB flash drives, mechanical keyboards, computer mice, and related computer peripherals) (the "Products") offered by SOTRUST™ ("SOTRUST," "we," "us," or "our"), operated by Nanjing Xingui Yuanying Trading Co., Ltd.. By accessing the Site, creating an account, or placing an order, you agree to be bound by these Terms. If you do not agree, do not use the Site or purchase the Products.
You must be at least the age of majority in your jurisdiction to use the Site and purchase Products. If you create an account, you are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You agree to provide accurate, current, and complete information and to keep it updated.
We strive to describe and display our Products accurately. However, we do not warrant that Product descriptions, images, specifications, pricing, or other content on the Site are accurate, complete, or error-free. We reserve the right to correct errors, inaccuracies, or omissions, and to change or update information, including pricing and availability, at any time without prior notice. We may limit quantities, refuse or cancel any order, and discontinue Products at our discretion, including after an order has been submitted (in which case we will notify you and refund any amounts charged).
Your placement of an order constitutes an offer to purchase the Products. All orders are subject to acceptance by us. We may refuse or cancel an order for reasons including Product availability, errors in pricing or Product information, suspected fraud, or payment issues. If your order is canceled after payment, you will receive a full refund of the amount charged.
Payment is due at the time of order. We accept the payment methods displayed at checkout. Payments are processed by third-party payment processors and are subject to their terms. You represent that you are authorized to use the payment method provided. Prices are shown in the currency displayed on the Site and, unless stated otherwise, do not include applicable taxes, duties, or shipping charges, which are your responsibility.
Shipping options, costs, and estimated delivery times are presented at checkout. Delivery estimates are not guaranteed. Title and risk of loss pass to you upon delivery of the Products to the carrier, unless otherwise required by law. We are not responsible for delays caused by carriers, customs, or events beyond our reasonable control.
We want you to be satisfied with your purchase. Unless otherwise stated on the Site or for a specific Product, you may request a return within 30 days of delivery for eligible Products in their original condition and packaging, subject to our Return Policy. Certain items may be non-returnable. Refunds are issued to the original payment method after we receive and inspect the returned Product. Customers are responsible for return shipping costs unless the return is due to our error or a defective Product. Where you purchase through a marketplace (e.g., Amazon), that platform's return policy applies.
We warrant to the original purchaser that our hardware Products will be free from defects in materials and workmanship under normal use for a period of one (1) year from the date of delivery (the "Limited Warranty"). This Limited Warranty does not cover damage caused by accident, misuse, abuse, unauthorized modification or repair, normal wear and tear, or use not in accordance with the Product documentation.
If a Product is defective during the warranty period, your exclusive remedy is, at our option, repair, replacement, or refund of the purchase price. To obtain warranty service, contact us at liuke@sotrust.net with your proof of purchase.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXCEPT FOR THE EXPRESS LIMITED WARRANTY ABOVE, THE PRODUCTS ARE PROVIDED "AS IS," AND WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
The Site and its entire contents, features, and functionality (including text, graphics, logos, images, and software), as well as the SOTRUST™ name, logo, and Product designs, are owned by SOTRUST or its licensors and are protected by copyright, trademark, and other intellectual property laws. The SOTRUST™ name and logo are trademarks of the Company (trademark registration pending). You may not use, reproduce, or distribute any of these materials without our prior written permission.
You agree not to: (a) use the Site for any unlawful purpose or in violation of these Terms; (b) attempt to gain unauthorized access to the Site, accounts, or systems; (c) interfere with the operation or security of the Site; (d) use any robot, scraper, or automated means to access the Site without our permission; (e) submit false, misleading, or fraudulent information; or (f) infringe the intellectual property or other rights of any person.
THE SITE AND ALL CONTENT, PRODUCTS, AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, EXCEPT AS EXPRESSLY SET FORTH IN SECTION 7. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SOTRUST OR ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, OR THE PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM.
You agree to indemnify, defend, and hold harmless SOTRUST and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms, your misuse of the Site or Products, or your violation of any law or the rights of any third party.
These Terms are governed by the laws of the People's Republic of China (excluding conflict-of-laws rules), without prejudice to mandatory consumer protection laws of your jurisdiction.
Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the Products will be resolved by negotiation in the first instance. Where negotiation fails, disputes will be submitted to binding arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) under its applicable rules, except that either party may bring an individual action in small-claims court. YOU AND SOTRUST AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING (CLASS ACTION WAIVER). You may opt out of this arbitration agreement by notifying us in writing within 30 days of first accepting these Terms at liuke@sotrust.net. This Section does not apply to the extent prohibited by applicable law, and nothing in it limits any non-waivable consumer rights you may have.
We may update these Terms from time to time. The updated Terms will be posted on the Site with a revised "Last Updated" date and will take effect upon posting. Your continued use of the Site or purchase of Products after the changes take effect constitutes your acceptance of the updated Terms.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision. These Terms, together with our Privacy Policy and any policies referenced herein, constitute the entire agreement between you and SOTRUST regarding the Site and the Products.
